ATTORNEY REFERRAL DISCLOSURE AND PLATFORM ADMINISTRATIVE TERMS
These Attorney Referral Disclosure and Platform Administrative Terms (these "Terms") are between the Consumer and REPORT A SCAM LLC, a Wyoming limited liability company, with an address at 5830 E 2nd St Ste 7000, Casper, Wyoming 82609. These Terms govern only how the Platform may provide information about Independent Attorneys at the Consumer's request and the administrative Platform functions associated with that information. These Terms are not an attorney engagement agreement, do not engage an attorney, and do not create a lawyer referral fee arrangement.
These Terms supplement the Consumer Terms of Service. If there is a conflict between this document and the applicable master terms, this document controls solely with respect to its specific subject matter. The applicable master terms control in all other respects.
Definitions. The following definitions apply to these Terms. Capitalized terms used but not defined in these Terms have the meaning given to them in the Consumer Terms of Service.
"Company" means REPORT A SCAM LLC, a Wyoming limited liability company, with an address at 5830 E 2nd St Ste 7000, Casper, Wyoming 82609.
"Consumer" means an individual who creates an account on the Platform and submits a report or requests Administrative Services.
"Consumer Content" means information, data, text, images, documents, and other materials submitted to or through the Platform by or on behalf of a Consumer, including Opinion Reports, Transactional Reports, supporting documents, and communications.
"Independent Attorney" means a lawyer who independently decides whether to accept a matter and, if engaged by a Consumer, provides legal services directly to that Consumer under a separate engagement agreement prepared or approved by that attorney.
"Platform" means the technology platform operated by the Company at reportascam.com, including associated websites, applications, portals, tools, and services.
1. Nature of the Disclosure
1.1 Consumer-Requested Information. At the Consumer's request only, the Company may provide information through the Platform about Independent Attorneys. The Consumer decides whether to contact, consult, or engage any Independent Attorney.
1.2 No Selection, Representation, or Fee Sharing. The Company does not select counsel, does not represent the Consumer, and is not a lawyer referral service that shares fees.
1.3 No Attorney Engagement Created. These Terms do not create an attorney-client relationship and are not an engagement agreement for legal services. Any attorney-client relationship arises solely under a separate agreement prepared or approved by the independent attorney and entered directly between the Consumer and that attorney. The attorney independently controls conflicts review, matter acceptance, scope, legal advice, strategy, work product, professional obligations, and fees. REPORT A SCAM LLC is not a party to that engagement and does not receive or share attorney fees.
1.4 No Obligation to Accept a Matter. These Terms do not require an Independent Attorney to accept a matter and do not alter the terms of any separate engagement agreement between a Consumer and an Independent Attorney.
2. Information About Attorney-Provided Services
2.1 Disclosure Only. The Platform may disclose that certain services, including preparation of a complaint, preparation of a demand letter, and review of documents, are available only from a licensed attorney engaged directly by the Consumer. The Company does not offer, price, perform, supervise, approve, or guarantee any such service.
2.2 Direct Engagement Required. Any attorney-provided service is available only if the Consumer and an Independent Attorney enter a separate engagement agreement prepared or approved by that attorney. The attorney independently determines whether to offer the service, the legal analysis, the causes of action and allegations, the scope, the fee, and the suitability of the service for the Consumer.
2.3 No Company Legal Judgment. The Company makes no legal judgment regarding any attorney-provided service, does not evaluate the merits of a Consumer's matter for that purpose, and does not draft, review, or control attorney work product.
3. Attorney Independence
3.1 Independent Professional Judgment. The Company does not determine whether an attorney should accept a matter, what legal services should be performed, or the content of legal advice or work product.
3.2 No Control. An Independent Attorney controls the attorney's professional judgment, legal analysis, strategy, scope, communications, fees, and work product, subject to that attorney's separate engagement agreement with the Consumer and applicable law.
3.3 No Professional Warranty. The Company makes no representation or warranty regarding the quality, competence, availability, or outcome of any attorney's services and does not set or apply any standard of professional care.
4. Conflicts Review
4.1 Independent Review. Each Independent Attorney performs an independent conflicts check before engagement.
4.2 No Engagement Pending Clearance. An Independent Attorney is not required to accept a matter and may decline a matter for conflicts, capacity, jurisdiction, scope, or any other reason permitted by applicable law and professional obligations.
5. Fees
5.1 Direct Attorney Fees. Attorney fees are established, billed, and collected directly by the attorney under that attorney's separate engagement agreement with the Consumer. The Company does not establish, quote, collect, receive, share, or split attorney fees and receives no compensation contingent on a Consumer engaging an attorney.
5.2 Company Fees. Any fee for a Company-provided nonlegal Platform service is separately disclosed and affirmatively accepted under the applicable Company terms and is not an attorney fee. No fee under these Terms is calculated as a percentage of a Consumer recovery or conditioned on settlement, payment, or the outcome of a Claim.
6. Refunds and Complaints
6.1 Allocation of Responsibility. The Company handles only refunds for Company-provided administrative or nonlegal services. Refunds, billing disputes, and professional-service concerns relating to attorney services are determined solely by the attorney under that attorney's separate engagement agreement and applicable law, and the Company makes no determination regarding them.
6.2 Attorney Concerns. Concerns about an Independent Attorney's legal services, billing, work product, or professional conduct must be addressed with that attorney under the attorney's separate engagement agreement and applicable law, or with the applicable licensing authority.
7. Data Sharing
7.1 Consumer Direction. Consumer information is provided to an attorney only at the Consumer's direction and subject to the Consumer Privacy Policy, the direct attorney-client engagement, and applicable confidentiality and security requirements.
7.2 Scope of Information. The Consumer determines whether to direct the provision of information to an Independent Attorney and is responsible for confirming that the information is accurate and complete before doing so.
8. Liability and Indemnity
8.1 Company Nonlegal Services. To the maximum extent permitted by law, the Company's aggregate liability arising from these Terms will not exceed the greater of amounts paid by the Consumer to the Company during the twelve months preceding the event giving rise to liability or one hundred dollars ($100). This limitation does not apply to fraud, willful misconduct, gross negligence, or liability that cannot be limited by law.
8.2 Attorney Professional Liability. Attorney liability is governed by the attorney's separate engagement agreement with the Consumer and applicable law. The Company does not cap, assume, insure, or otherwise allocate attorney professional liability.
8.3 Consumer Indemnity. The Consumer's indemnification obligation is limited to third-party claims arising from knowingly false, infringing, or unlawful Consumer Content. The Consumer is not required to indemnify the Company merely because a disputed Claim is unsuccessful.
9. Disclaimers, Governing Law, and Forum
9.1 No Legal Services by Company. The Company is not a law firm. The Company does not provide legal advice, legal opinions, or legal representation, does not select legal claims or remedies, and does not own or control any Consumer Claim.
9.2 No Guarantee. The Company does not guarantee that an Independent Attorney will accept a matter, provide a service, achieve a particular result, or produce a particular legal or financial outcome.
9.3 Governing Law. These Terms are governed by the laws of the state of the Consumer's residence, without regard to conflict of laws principles.
9.4 Forum. Any action arising from these Terms may be brought in a court of competent jurisdiction in the county of the Consumer's residence. The Company consents to personal jurisdiction in those courts.
9.5 No Class Action Waiver. These Terms do not waive the Consumer's right to participate in a class, collective, consolidated, or representative action to the extent permitted by applicable law.
10. Notices, Survival, and Miscellaneous
10.1 Notices. Notices to the Company must be sent through the Platform or by mail to REPORT A SCAM LLC, 5830 E 2nd St Ste 7000, Casper, Wyoming 82609, and by email to legal@reportascam.com. Notices to the Consumer are given through the Platform dashboard or to the email address on file. Notices are deemed received on the earlier of actual receipt or the first business day after transmission.
10.2 Survival. Sections 1 (Nature of the Disclosure), 2 (Information About Attorney-Provided Services), 3 (Attorney Independence), 5 (Fees), 6 (Refunds and Complaints), 7 (Data Sharing), 8 (Liability and Indemnity), 9 (Disclaimers, Governing Law, and Forum), and 10 (Notices, Survival, and Miscellaneous) survive termination of these Terms.
10.3 Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.
10.4 Waiver. A waiver of any provision of these Terms is effective only if in writing and does not waive any other provision or subsequent breach.
10.5 Entire Agreement. These Terms and the Consumer Terms of Service are the entire agreement between the Consumer and the Company concerning the Company's provision of information about Independent Attorneys. Any engagement agreement between the Consumer and an Independent Attorney is a separate agreement to which the Company is not a party.
11. Acceptance
11.1 Clickwrap Acceptance. By selecting an acceptance control for these Terms or requesting information about an Independent Attorney after being presented with these Terms, the Consumer affirmatively accepts these Terms and separately affirms acceptance of the Consumer Terms of Service and each applicable as described on our Pricing page at reportascam.com/pricing.
11.2 Electronic Records and Signatures. The Consumer consents to use electronic records and electronic signatures under the Electronic Signatures in Global and National Commerce Act and the Uniform Electronic Transactions Act. The Consumer may retrieve a copy of these Terms through the Platform.
